Terms of Use & End User License Agreement

This document (the “Agreement” or “EULA”) is an agreement between you (“you,” “your,” or “User”) and Innova Electronics Corporation, a California corporation headquartered at 17352 Von Karman Avenue, Irvine, CA 92614 (“Innova,” “Company,” “we,” “us,” or “our”), governing your access to and use of AskFixy and any related software, content, data, APIs, reports, updates, and supplemental materials we make available (collectively, the “Service”).
AskFixy is a service of the RepairSolutions family of products. If you do not agree to this Agreement, you may not access or use the Service.
By creating an AskFixy account, calling the AskFixy API with an issued key, or otherwise using the Service, you (1) represent that you are at least 18 years old; (2) agree to be bound by this Agreement; and (3) consent to our collection and use of information as described in the AskFixy Privacy Policy at askfixy.com/privacy. If you do not meet these requirements, you must stop using the Service immediately.
1. Description of the Service
AskFixy is an AI-assisted automotive diagnostic information service. It provides web-based and API access to large-language-model responses about automotive symptoms, diagnostic trouble codes, suggested repair steps, related parts and tools, and links to third-party retail and information sources. The Service may include some or all of the following:
- An interactive chat product at chat.askfixy.com that answers free-form automotive questions.
- A REST API at api.askfixy.com that returns structured diagnostic responses, recommendations, product links, and feedback handles.
- An organization administration portal at admin.askfixy.com for API key management, usage analytics, and billing.
- Suggested repair steps, parts to try first, recommended technicians, and references to third-party content (videos, manufacturer recalls, retail product listings).
The Service is informational. It is not a substitute for professional inspection, diagnosis, or repair by a qualified technician.
2. Restrictions on Use
You agree not to use the Service while operating a vehicle. If you have an automotive emergency, pull off the road safely before consulting the Service, or call emergency or roadside assistance.
The Service uses artificial intelligence to generate responses. AI responses can be incomplete, outdated, or wrong. You are responsible for verifying any technical recommendation against authoritative sources before acting on it. Innova is not liable for actions you or anyone else takes in reliance on Service outputs.
You will not use the Service to evaluate it for the purpose of building a competing product, reverse-engineer or extract model weights or training data, attempt to bypass rate limits or authentication, submit content that is illegal or infringes a third party’s rights, or use outputs as the sole basis for safety-critical decisions.
You will not impersonate another vehicle owner or submit vehicle identifying information that you do not own or have authorization to submit. You assume responsibility for and will indemnify Innova against any claim arising from a violation of this restriction.
The Service may reference or link to third-party repair shops, parts retailers, video creators, and information sources. Innova does not warrant the work, recommendations, prices, or content of any third party referenced through the Service. Your interactions with any third party are at your own risk.
3. Accounts and API Access
The chat product may be used by individual end users who create an account. The API is provisioned at the organization level by an Innova administrator and is accessed using API keys issued to that organization. You are responsible for safeguarding your password, multi-factor credential, or API keys, and for all activity that occurs under your account or organization, including any usage charges. You will notify us immediately at support@askfixy.com of any unauthorized use.
You will not share login credentials or API keys across organizations.
4. License Grant
Subject to your compliance with this Agreement, Innova grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal automotive-diagnostic and repair-assistance purposes. API access is for the licensed organization's own products and integrations and may not be relicensed to or shared with third parties without our prior written consent.
5. Fees and Billing
The chat product may be offered free of charge, on a metered basis, or on a subscription basis, as posted at the time you create an account. The API is metered by tokens consumed and endpoint calls and is billed against organization credits at the rates published in the admin portal. Pricing may change with 30 days' notice to the organization administrator on record. Credits purchased are non-refundable except as required by law. Unpaid invoices or exhausted credits may result in suspension of the Service for the affected organization.
6. Your Content
You retain ownership of content you submit to the Service (your questions, vehicle information, uploaded media). You grant Innova a worldwide, non-exclusive, royalty-free license to process that content through the Service and through model and infrastructure sub-processors solely for the purpose of generating responses for you and operating, securing, and improving the Service. We do not use your content to train our own foundation models and we configure model sub-processors to not use your content for their training where they offer that option. You will not upload content that is illegal, infringes a third party’s rights, contains personal data of another individual without their consent, or is otherwise prohibited under this Agreement.
7. Intellectual Property
The Service, including all software, content, models, prompts, documentation, trademarks, and the AskFixy and RepairSolutions names and logos, is owned by Innova and its licensors and is protected by U.S. and international intellectual property laws. No license is granted to you except as expressly stated in this Agreement. You acknowledge that any feedback, suggestions, or ideas you provide may be used by Innova without restriction or compensation to you.
8. Updates and Changes to the Service
We may release updates, bug fixes, new features, model upgrades, and other changes to the Service at any time. We may also remove features, change pricing, or discontinue the Service in whole or in part with or without notice. We are not liable to you or any third party for any such modification or discontinuation.
9. Term and Termination
This Agreement applies from the moment you first use the Service and remains in effect until terminated. You may terminate by closing your account or by emailing support@askfixy.com and ceasing all use. We may suspend or terminate immediately on breach of this Agreement, on non-payment, or if we discontinue the Service. Sections 2, 6–7, 10–14 and any payment obligations survive termination.
10. Indemnification
You will defend, indemnify, and hold harmless Innova, its affiliates, and their officers, directors, employees, and agents from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your breach of this Agreement, or your violation of any law or third-party right.
11. Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, Innova and its licensors and suppliers disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uninterrupted availability, and freedom from defects, viruses, or errors. No oral or written information given by Innova or any authorized representative creates a warranty. You bear the entire risk of using the Service.
12. Limitation of Liability
To the maximum extent permitted by law, Innova will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or relating to this Agreement or the Service, even if Innova has been advised of the possibility of such damages. Innova's aggregate liability for all claims arising out of or relating to this Agreement is limited to the greater of (a) the fees you paid Innova for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars. This limitation does not apply to liability for death or personal injury caused by Innova's negligence to the extent applicable law prohibits such limitation.
13. Dispute Resolution and Mandatory Arbitration
Please read this section carefully. It requires binding individual arbitration of disputes, waives your right to a jury trial, and waives your right to participate in a class action.
Informal Resolution.If you have a dispute with Innova arising out of or relating to the Service or this Agreement (a “Dispute”), you agree to first notify us in writing at legal@askfixy.com with a description of the Dispute, supporting documents, and a proposed resolution. The parties will attempt in good faith to resolve the Dispute informally for sixty (60) days.
Binding Arbitration.If the Dispute is not resolved within sixty days, you and Innova each agree to resolve the Dispute exclusively by binding individual arbitration administered by JAMS in Orange County, California under the JAMS Comprehensive Arbitration Rules and Procedures. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Federal Arbitration Act.This arbitration agreement involves interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.
Exceptions. Either party may (a) bring a qualifying dispute in small-claims court, or (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or to enforce the restrictions on use of the Service.
Class Action and Jury Waiver. To the extent permitted by law, you and Innova each waive any right to (i) participate in a class, collective, or representative action, and (ii) a trial by jury.
Governing Law. To the extent the Federal Arbitration Act does not supply substantive law, this Agreement and any Dispute are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
14. General
Entire Agreement. This Agreement, together with the Privacy Policy and any organization-level order form, is the entire agreement between you and Innova regarding the Service and supersedes any prior agreements on the same subject matter.
Severability. If any provision is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign this Agreement without our prior written consent. Innova may assign this Agreement in connection with a merger, acquisition, or sale of assets.
Export. You will comply with all applicable U.S. export-control laws and will not access or use the Service from a country or by a person subject to U.S. trade sanctions.
Force Majeure. Neither party is liable for delay or failure of performance caused by events beyond its reasonable control.
15. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be communicated by email to the address on record (or to the organization administrator for API customers) and posted at this URL with an updated effective date. Your continued use of the Service after a change constitutes acceptance.
